Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) governs the disclosure and use of confidential information provided by Tornado Boats (“Disclosing Party”) to you (“Receiving Party”) in connection with discussions, evaluations, proposals, projects, and access to documentation or portal features.

By accessing restricted areas of our website or portal, receiving documents, or using a Magic Link with advanced access, you agree to be bound by this Agreement.


1. Definition of Confidential Information

“Confidential Information” means any non-public information disclosed by Tornado Boats, whether in written, electronic, visual, or oral form, including but not limited to:

  • Technical specifications, drawings, plans, designs, and engineering data
  • Pricing, quotations, proposals, and commercial terms
  • Product configurations, options, and development information
  • Documents, PDFs, images, videos, and portal content
  • Business, operational, or strategic information

2. Purpose of disclosure

Confidential Information is disclosed solely for the purpose of evaluating, discussing, or advancing a potential or ongoing business relationship with Tornado Boats (“Permitted Purpose”).

3. Obligations of the Receiving Party

The Receiving Party agrees to:

  • Keep all Confidential Information strictly confidential
  • Use Confidential Information only for the Permitted Purpose
  • Not disclose Confidential Information to any third party without prior written consent
  • Limit access to Confidential Information to persons who need to know it for the Permitted Purpose
  • Protect Confidential Information using at least the same degree of care as its own confidential information

4. Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no breach of this Agreement
  • Was lawfully known to the Receiving Party before disclosure
  • Is independently developed without reference to Confidential Information
  • Is lawfully obtained from a third party without restriction

5. Intellectual property

All Confidential Information remains the exclusive property of Tornado Boats. No licence, assignment, or other rights are granted under this Agreement except the limited right to use the information for the Permitted Purpose.

6. No warranty

Confidential Information is provided “as is” without any warranty as to accuracy, completeness, or fitness for a particular purpose.

7. Duration

The obligations under this Agreement shall remain in force during the business relationship and for a period of five (5) years after the last disclosure of Confidential Information, unless a longer period is required by applicable law.

8. Return or destruction of information

Upon request, the Receiving Party shall promptly return or destroy all Confidential Information, including copies, except where retention is required by law.

9. Breach

The Receiving Party acknowledges that unauthorised disclosure or misuse of Confidential Information may cause irreparable harm to Tornado Boats. Tornado Boats shall be entitled to seek injunctive relief and any other remedies available under law or equity.

10. Governing law and jurisdiction

This Agreement shall be governed by the laws of Portugal. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Portugal, unless mandatory laws provide otherwise.

11. Acceptance

Acceptance of this Agreement may be recorded electronically through the Tornado Boats website, portal, CRM system, or Magic Link access, and shall have the same legal effect as a written signature.

12. Changes to this Agreement

We may update this Agreement from time to time. The latest version will always be available on this page.
